After a target has been identified and the negotiation process has finished, how do business leaders close a merger or acquisition deal with the target? What processes will they need to be aware of, and how do they transition into the post-merger integration period? This course will explore the closing and signing process, as well as other important concerns like taxes in M&A transactions, and completing due diligence procedures.
This transaction will affect everyone involved, and the post-merger integration period is a key time for the newly-merged business to spot fresh opportunities. After the merger is complete, it’s a good idea to regularly evaluate the merged company’s standing and monitor compliance. Compliance difficulties include antitrust laws, antibribery laws, health and safety violations, data privacy rules, and sanction violations. Many businesses are unaware of PMI requirements beyond receiving merger-related documentation. This course will also cover the takeover process. Acquisitions can be friendly and unfriendly. Unfriendly acquisitions are also called hostile takeovers. Friendly acquisitions are much more common. In a friendly acquisition, the acquiring firm informs the target firm’s board that it wants to buy the business. In a hostile takeover, the acquiring firm takes an active role to gain a controlling position to compel the acquisition.
